Additional terms and conditions related to the Easy Upgrade offer

This offer represents an upgrade of bandwidth (the “Upgrade Order”) related to Services at the Service Location(s) under an existing Service Order (the “Original Order”). Unless terminated in the manner outlined directly below, the Order Term of this Upgrade Order shall continue for the identical Order Term of the Original Order, including any renewals thereto.

Upon thirty (30) days' prior written notice to Spectrum, Customer's authorized representative may cancel the Upgrade Order, provided that such cancellation occurs during the Order Term, and continue Services at the Service Location(s) under the terms of the Original Order (i.e. bandwidth, rate and Order Term), without liability for Termination Charges under the Upgrade Order, provided that: (i) Customer has paid for all necessary equipment, construction and installation charges, if any, related to the Upgrade Order and the Original Order; and (ii) Customer is and remains in good standing on its payment obligations during the Order Term of this Upgrade Order and the Original Order. Customer's obligation to pay monthly recurring charges for the Upgrade Order will continue during the Order Term until such time as Customer complies with the foregoing requirements. All other rights and obligations of the parties under the Service Agreement, including, without limitation, any obligation to pay applicable Termination Charges, shall remain in full force and effect.

Promotional offer not available to Federal clients (including foreign consulates, missions and embassies), state and local government clients with existing MSAs and negotiated pricing, K-12 clients eligible for E-rate, nor healthcare clients that participate in USAC's Rural Health Care Program, or other government funded programs. Some state and local government clients without existing MSAs or negotiated pricing may be eligible. Restrictions apply.
